China Keli Electric completes DGEN acquisition and plans Canadian stock listing

China Keli Electric Company completed its acquisition of Vancouver-based payment platform developer DGEN Financial Holdings Corp on October 14, according to a corporate press release published on October 16. Following the close of the transaction, China Keli changed its corporate name to DGEN Technologies Corp.

The transaction executes a share exchange agreement originally signed on December 9, 2025, and amended on August 17, 2026. Following the share exchange, DGEN Financial Holdings, which was formerly named DGEN Technologies Corp, now operates as a wholly owned subsidiary of the combined enterprise.

To acquire the entity, China Keli issued 9,550,360 common shares and 7,000,360 share purchase warrants to former DGEN shareholders. Each warrant permits the holder to buy one common share at a price of 25 cents until October 14, 2028. The deal brings the combined firm's total issued equity to 29,161,364 common shares and 7,000,360 warrants outstanding.

DGEN Technologies develops a cloud-based payment platform designed to integrate point-of-sale terminals, self-service kiosks, and mobile transaction systems into a scalable architecture. The company stated in its announcement that the platform is currently operating in its beta phase and has not yet generated commercial revenue.

The company filed a CSE Form 2A listing statement on October 14 after securing conditional approval to list its common shares on the Canadian Securities Exchange under ticker symbol DGEN. In preparation for the listing, the firm delisted its common shares from the TSX Venture Exchange. Public trading on the Canadian Securities Exchange is scheduled to commence on or about October 20.

Cole Goodwin leads the combined organization as chief executive officer and director, with Philip Lo serving as chief financial officer, corporate secretary, and director. Sean Webster and Yee Man Cheung also serve as directors. Goodwin previously held senior management and board positions at publicly traded companies, including chief operating officer of Hyper Bit Technologies Ltd.

Under an escrow agreement dated October 14 with Odyssey Trust Company, 2,496,000 common shares and 1,000,000 warrants held by related persons were placed into escrow subject to a 36-month release schedule.
